2.Brief Introduction to Dong-Sui Branch Company of Heilongjiang Transport Development Co., Ltd.
(1) Information about Joint Investment
In 2001, after negotiation, Transport Department of Heilongjiang Province and Northeast Expressway made the joint investment to construction the expressway from Liuxiu Village to Shangzhi. Northeast Expressway raised the funds of 624,290,000 Yuan for the extension project of the expressway from Liuxiu Village to Shangzhi. The expressway company took the operational assets of 758,750,000 Yuan of the highway from Harbin to Shangzhi of which the operation was entrusted to it as the investment. The two parties made the joint investment to establish Heilongjiang Dong-Sui Expressway Co., Ltd. The registration was completed on June 25, 2001 with the registered capital of 1,382,590,000 Yuan. After the two parties made joint investment to establish Heilongjiang Dong-Sui Expressway Co., Ltd., Transport Department of Heilongjiang Province held 54.86% of the shares, and Northeast Expressway held 45.14% of the shares. In December, 2003, Northeast Expressway made the investment of 50,000,000 Yuan to purchase 3.62% of the shares. At present, Transport Department of Heilongjiang Province holds 51.24% of the shares, and Northeast Expressway holds 48.76% of the shares.
(2) Natural Condition
Dong-Sui Company operates and manages the expressway of 127 kilometers from Harbin to Shangzhi in Sui-Man Highway (G10). The certified personnel allocation of enterprise is 762 people. The company has 9 departments (Administrative Department, Financial Department, Personnel Department, Toll Collection Department, Inspection Department, Monitoring Center, Maintenance Department, Road Administration Department and Party-masses Department) and 1 operation company. The company has Harbin Management Station, Shangzhi Management Station and 11 toll stations (Harbin Toll Station, A’cheng Toll Station, A’cheng South Toll Station, Yagou Toll Station, Huaguoshan Toll Station, Yuquan Toll Station, Xiaoling Toll Station, Pingshan Toll Station, Maoershan Toll Station, Wujimi Toll Station and Shangzhi Toll Station).
(3) Information about Income and Expenditure
After the expressway from Yagou to Shangzhi was open to traffic in November, 2004, since January 1, 2005, Dong-Sui Company carried out the enterprise accounting system, and the income was not turned over to the finance. The income of 2005 was 125,440,000 Yuan, the income of 2006 was 145,230,000 Yuan, the income of 2007 was 164,360,000 Yuan, the income of 2008 was 161,610,000 Yuan, and the income of 2009 was 149,780,000 Yuan. At present, Dong-Sui Company has the total assets of 2.058 Billion Yuan and the loan of 530,000,000 Yuan.
(4) Information about Da-Sui Company Starting Operation
On March 10, Dong-Sui Company held the meeting of shareholders, the meeting of board of directors and the meet of board of supervisors. The meetings passed first board of directors and the first board of supervisor of the company, and elected the chairman of board of directors, the general manager, the chairman of board of supervisors, the vice general manager and the chief financial officer. These meetings marked that the operation of Dong-Sui Company was formally started. After the operation of the company began, the legal representative, the business license and the organization code certificate were altered according to the relevant laws and regulations of the country. Meanwhile, the establishment of departments in the company, the separate project auditing of Northeast Expressway, the assets evaluation, the interrogation and examination of assets, the establishment of regulations and organizational system and other work were completed. On December 4, 2009, the company held the first meeting of the first workers’ conference in 2009. 70 employees’ representatives attended the meeting. The meeting elected the trade union, and passed the work attendance checking system, the rewards and punishments for toll collection and other enterprise systems.
